Terms of Service

Cognivio Ltd. (in formation) Effective Date: June 30, 2026

These Terms of Service (“Terms”) govern access to and use of the Cognivio platform, websites, and related services (the “Service”), operated by Cognivio Ltd. (in formation) (“Cognivio,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

1. The Service

Cognivio provides a professional learning platform that enables educators and educational institutions to upload, review, and analyze classroom video and related data for teacher reflection and instructional feedback purposes.

Cognivio does not provide instructional, legal, compliance, or regulatory advice, and does not monitor or supervise classroom activities.

2. Eligibility and Accounts

2.1 Authorized Users

The Service is intended solely for use by:

Educational institutions
Educators, instructional coaches, and administrators authorized by an educational institution

You represent that you are authorized to use the Service on behalf of the institution with which you are affiliated.

2.2 Account Responsibility

You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Ensuring that access permissions are assigned appropriately

3. Institutional Responsibility and Compliance Allocation

3.1 Educational Institution Obligations

Educational institutions are solely responsible for:

Determining the legality of recording classroom video
Providing required notices and obtaining consents from students, parents, or staff
Determining what content is uploaded to the Service
Ensuring compliance with applicable education, privacy, and data protection laws

3.2 No Compliance Guarantee

Use of the Service does not guarantee compliance with FERPA, COPPA, GDPR, Israeli privacy law, or any other regulation.

Cognivio acts solely as a technical service provider and does not assume responsibility for institutional compliance decisions.

4. Data and Privacy

Your use of the Service is subject to Cognivio’s Privacy Policy, which is incorporated by reference.

In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy governs with respect to data protection matters.

5. Data Ownership and License

5.1 Ownership

Educational institutions and Users retain all rights, title, and interest in classroom videos and other content uploaded to the Service (“User Content”). Cognivio does not claim ownership of User Content.

For the avoidance of doubt, abstracted insights, models, metrics, and behavioral representations derived from User Content constitute Cognivio intellectual property, provided they do not contain identifiable personal data.

5.2 License to Cognivio

You grant Cognivio a limited, non-exclusive, worldwide license to host, store, process, transmit, and analyze User Content solely to provide and operate the Service.

All analytical outputs, insights, models, and system-generated feedback derived from the Service constitute Cognivio intellectual property, excluding any underlying User Content.

5.3 Gold Star Classes

Where an educator authorizes classroom content to be designated as a Gold Star Class, the educational institution grants Cognivio a limited license to make such content available to other authorized users of the Service solely for professional learning purposes.

Such designation does not transfer ownership of the underlying content and may be revoked by the educational institution, subject to reasonable technical limitations.

6. Use of De-Identified Data

Cognivio may create and use Non-Identifiable Data (as defined in the Privacy Policy) derived from use of the Service. Cognivio may use Non-Identifiable Data for:

Improving and developing the Service
Training and improving analytical and machine-learning models
Developing new features and product offerings
Internal research and analytics

Non-Identifiable Data does not constitute personal data and is not subject to restrictions applicable to User Content.

7. Artificial Intelligence and Analytics

Analytical and AI-based features:

Are provided for informational and reflective purposes only
Do not make decisions about students, educators, or employment outcomes
Do not replace professional judgment

You acknowledge that outputs may be probabilistic, incomplete, or context-dependent.

8. Acceptable Use

You agree not to:

Upload content that you do not have the legal right to share
Violate applicable laws or institutional policies
Attempt to reverse engineer or interfere with the Service
Use the Service for surveillance, evaluation, or disciplinary purposes outside its intended scope

9. Third-Party Infrastructure and Services

The Service relies on third-party infrastructure providers, including Amazon Web Services (AWS).

Cognivio does not operate physical data centers and does not control third-party infrastructure services. Educational institutions acknowledge that Cognivio relies on third-party cloud infrastructure providers and accepts no responsibility for failures originating outside Cognivio’s application layer.

You acknowledge that service availability and security depend in part on third-party providers.

10. Suspension and Termination

Cognivio may suspend or terminate access:

For violation of these Terms
To protect the security or integrity of the Service
As required by law

Upon termination, access to the Service will cease, subject to applicable data retention obligations.

11. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Cognivio disclaims all warranties, including:

Fitness for a particular purpose
Accuracy or completeness of analytics
Uninterrupted or error-free operation

12. Limitation of Liability

To the maximum extent permitted by law, Cognivio shall not be liable for:

Indirect, incidental, consequential, or punitive damages
Loss of data, revenue, or use
Compliance failures by educational institutions

Cognivio’s total liability shall not exceed the amounts paid to Cognivio in the twelve (12) months preceding the claim.

13. Indemnification

Educational institutions agree to indemnify and hold harmless Cognivio from claims arising out of:

Unlawful recording or upload of classroom content
Failure to obtain required consents
Misuse of the Service
Violation of applicable laws or institutional policies

14. Changes to the Service or Terms

Cognivio may modify the Service or these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles.

Exclusive jurisdiction shall lie with the competent courts of Tel Aviv–Jaffa, unless otherwise required by mandatory law. Nothing in these Terms restricts the application of mandatory state or local laws governing public educational institutions.
